Robert Zasa, MSHHA, FACMPE, is one of the founders of W/ASD. He is the proprietor, manager and developer of W/ASD. He is experienced in all phases of business development in multiservice ambulatory care facilities, group practices, ambulatory surgery center and hospitals. That experience includes management, development, expansion, acquisition, ownership structuring and marketing.

In the early 1990s, Bob founded and served as president and CEO of Premier Ambulatory Systems, Inc., a firm that acquired, developed, owned and operated ambulatory surgery centers across the US. In 1995, he was recognized by Inc. magazine as CEO of one of the top 500 fastest growing private companies in the US. Premier ranked sixth in the nation for its growth in three years, earning over $35 million in revenues.

Previously, Bob was managing general partner of a national ambulatory care consulting firm. He was involved in the founding and public offering of Alternate Corp., and served as vice president in the corporate office of American medical International and COO of AMI Ambulatory Centers, Inc. As an administrator at Brookwood Medical Center in Birmingham, AL, he operated a 552-bed hospital and developed a network of satellite clinics and ambulatory businesses. He was an administrator of Ochsner Clinic in New Orleans, LA and worked at Druid City Medical Center and Baptist Hospital in Alabama.

Bob earned his graduate degree in hospital and health administration from the University of Alabama, Birmingham, and attended graduate programs in marketing at UCLA and Loyola University. He is a fellow in the American College of Medical Practice Executives, lecturer and author, and served on the editorial boards of the Journal off Ambulatory Care Management and Surgery Network.

David Woodrum, MHE, FACHE, brings a broad spectrum of health care administration, management and revitalization experiences to the firm. He consults with health care institutions in the areas of planning, management, finance, loss prevention, marketing, physician group practice management, executive recruitment, health systems and compliance with JCAHO.

Previously, David served as executive vice president and COO of the American Hospital Association. His earliest positions, however, grounded him in the daily operations of hospital administration: he was assistant administrator for Anne Arundel General Hospital in Annapolis, MD, and held administrative positions at Franklin Square Hospital in Baltimore, MD, Monogalia General Hospital in Morgantown, WV, King Fahad Hospital in Saudi Arabia and AMI Medical Plaza Hospital in Sherman, TX. David also served as corporate vice president for AMI Saudi Arabia, Ltd., a corporation responsible for managing five hospitals with a total of 1,360 beds, $270 million annual operating budget and over 4,000 employees.

David earned a graduate degree in business administration from George Washington University. He is a fellow and regent of the American College of Health Care Executives; a credentialed life fellow, diplomat and regional director of the American Academy of Medical Administrators; a certified association executive and certified health education specialist. David served on the boards of numerous regional, state and national hospital associations; was a board member of the American Association of Hospital Foundations and is a noted speaker and author.

Joseph Zasa, JD is a partner in Woodrum/ASD and leads Woodrum/ASD's Dallas office where he provides development, operations, management and merger and acquisitions expertise for the firm's ambulatory clients. Mr. Zasa specializes in consummating strategic joint ownership arrangements for the firm's clientele with physicians, hospitals, and strategic partners as well as assisting the firm's clientele in raising capital to finance their ambulatory care requirements. Mr. Zasa is also the current President of the Texas Ambulatory Surgery Center Society (TASCS).

Previously, Joe served as Regional Director of Surgery Center Operations for ProSurg, Inc., a division of American Ophthalmic, Inc., and as Corporate Counsel for Premier Ambulatory Systems, Inc.

Mr. Zasa received his Juris Doctorate from Washington and Lee University, and his bachelor's degree from the University of Alabama. He is a member of the Virginia State Bar and is a Series 22 and Series 63 registered representative.

Sandra Jones, MBA, MS, CASC, FHFMA, Principal is Director of Management Services.  She has a breath of expertise in ambulatory surgery centers, physician practices, and hospitals.  Her experience includes development and management consulting to hospitals, physicians, and ambulatory care businesses as president of Ambulatory Strategies and as a regional managed care coordinator, risk manager and facility administrator for Premier Ambulatory Systems.  She was a CEO and COO at for-profit hospitals and case management director for several hospitals and clinics.  She is certified administrator surgery center (CASC), a fellow of the Healthcare Financial Management Association, a diplomat of the American Board of Utilization Review and Quality Assurance Physicians, credentialed in quality improvement, a licensed risk manager, and nationally recognized expert in regulatory compliance.  Sandra has served on the board of directors of various national and state health care organizations.  As an author and lecturer, she serves on editorial boards and as an instructor in quality improvement, patient safety, risk management, and regulatory compliance. 

Sandra earned her Master of Business Administration from University of Central Florida in Orlando, her Master of Science in Management from Rollins College in Winter Park, Florida, and her undergraduate degree from the University of Florida.  She later attended the Executive Program in Managed Care at the University of Missouri and the Risk Management Certification program at the University of Central Florida.

Woodrow M. Moore, BS - Woodrow “Woody” Moore has broad experience in outpatient services’ start-up, transitional and ongoing management. Mr. Moore is accomplished at client relations, leading new market initiatives and creating new revenue streams for innovative, high-performing healthcare groups. Over the past 22 years he served as an ASC Administrator, syndicated and operated multiple physician investor-owned surgery centers, held Executive Management positions in publicly-traded and privately held healthcare companies which focused on physician practice management, real estate ventures, outpatient physical therapy, sleep labs and diagnostic imaging centers.

Mr. Moore is the Founder and Board Member of the successful Texas Ambulatory Surgery Center Society, a Texas 501 (c) (6) organization, which serves over 140 facility members as “the United Voice of the Texas ASC Industry” regarding legislative and regulatory advocacy efforts for the 300+ ASC’s in Texas. Mr. Moore holds a Bachelors Degree from Central State University in Edmond, Oklahoma and has completed Masters in Health Administration post-graduate coursework in Health Administration at the University of Oklahoma Health Sciences Center.

Randall Todorovich, BS brings managed care, clinical and administrative expertise to Woodrum/ASD. He was most recently Director of Managed Care Business Development for Simi Valley Hospital and Health Care Services, Simi Valley, CA. A specialist in negotiating shared and dual risk contracts, Randy uses his strategic planning skills in analyzing managed care contracts and working with local physicians & medical groups. Previous managed care experience includes being a Director of Managed Care with national responsibility for Premier Ambulatory Systems and ASC Network Corp. His experience with business and clinical functions in surgical facilities include Administrator, HealthSouth Surgery Center of the Tri-Valley in Pleasanton, CA., Administrative Director at Valencia Surgical Center, Santa Clarita, CA., Henry Mayo Newhall Surgery Center, Valencia, CA., Aspen Outpatient Center, Simi Valley, CA. Woodrum/ASD relies on Randy's proficiency in development, licensure and management of freestanding, multi-specialty ambulatory surgery centers. With years of experience with both hospital-owned and hospital/physician joint ventured surgery centers, he has proven to be an excellent facilitator, negotiator and analyst. Randy began his career in healthcare as an operating room nurse at several large tertiary care facilities.

Mr. Todorovich received his RN Associate in Science and Bachelor's degree from Pacific Union College. He is a member of several managed care and ambulatory care associations.

Marjorie E. Vincent, RN, MBA has been in the ambulatory surgery center field for over 20 years. She has provided interim management in ambulatory and/or hospital settings, worked on long and short term contracts involving a variety of health care issues. She has developed many surgery centers and ambulatory and related businesses working with investors, corporations, and individuals during the start-up phases in establishing freestanding surgical centers from design, construction, equipment purchase, staffing, policy and procedure formulation, pricing and business functions. With W/ASD, she also performs internal audits for operational efficiencies and effectiveness, pre-survey reviews for compliance with state licensure, Medicare certification and/or accrediting agencyÕs standards and requirements. Marge also works with the Mr. Hatch in the division of W/ASD which develops expansion of services of ambulatory facilities to include specialty hospital licensure. Her duties also include reviewing facilities for Corporate Compliance with corrective plan of action and assistance with development of Compliance plan. Due to her extensive ASC management experience, she also assists with managed care contracting and negotiations for clients.

Marge has been a Regional Vice President with HealthSouth, Inc. providing managerial oversight for 13 Ambulatory Surgery Centers within the HealthSouth system. Working with managers of the HealthSouth rehabilitation and diagnostic centers to provide integrated services. Developing new services and centers in a four state area and providing input to the Managed Care division for contract negotiation. She also served as Director of Consulting Services for Premier Ambulatory Systems, Inc., a national company of 35 surgery centers. She provided internal and external consultative services. Working with development projects, newly acquired centers in transition, developed centers for update and review. Provides operational and clinical audits for compliance with regulatory agencies, financial/fiscal reviews and budgetary preparations. Consultative services provided over the phone and at the client site. Reviews and update the company's policy and procedure manuals for administrative, business and clinical activities. Reviews billing and coding practices for optimization of revenue. Assemblies and analyzes procedure costs and supply utilization. Assists with background support for managed care contract negotiations.

She has also served as the Administrator: of the Frederick Surgical Center in Frederick, MD to secure bank and lease financing, negotiate third party payor contracts and the daily operational activity of the center. This activity was concurrent with above and expanded on the job responsibilities below. Performed ROI, pro forma and P & L activities. Reduced accounts receivable aging from 126 days to 68 days. She was also Administrator of the Bon Secours Ambulatory Surgery Center in Ellicott City, MD with total responsibility for all functions of a freestanding surgical center (14,000 square feet- 4 ORs). Functional areas included business office, medical records, medical staff relations, clinical, support, clerical and materials management. Established and responsible for personnel management, planning, organizing, staffing and controlling this independent not-for-profit subsidiary. Project manager for new construction. Established and responsible for short and long range goals and objectives; marketing to physicians, patients and community; physician recruitment and medical staff Credentialing and functions; developed and monitored standards and protocols; formulated and controlled vendor contracts and inventory; maintenance and repair of physical plant, fixed and moveable equipment; established systems for and maintaining of compliance with State and Medicare regulations; developed medical record and audit systems. Purchased all equipment and supplies for new center; hired staff; developed budget, policies and procedures for all areas. Marge has had experience managing and direction hospital operating rooms and coordinates W/ASD's consulting services of assessing and correcting operation of hospital operating rooms for W/ASD hospital clients. She has Director of Operating Room, Assistant Director of Nursing at Southern Maryland Hospital Center, a 310 bed acute care proprietary hospital. Responsible for short and long range goals; marketing present and future services; monitoring the care in three areas, formulating and controlling budgets for staffing equipment and supplies. Developed and monitored standards and protocols; developed and instituted a training programs for inexperienced RNs; developed recruitment ads; performed organizational analysis; and developed inventory control methods. The latter items were not in place when hired and were implemented during my tenure. Involved in master planning and programming of an outpatient surgical and admitting areas and a trauma unit. She has also served as Director of Nursing: Division of Operating, Recovery & Delivery Rooms at Washington Hospital Center in Washington, DC,a 922 bed non-profit tertiary trauma referral hospital. Responsible for strategic planning, long and short range goals; daily operations and marketing of six clinical areas and sixty patient beds; total personnel activity (hire to termination) in a union environment; developed , justified and controlled expense budgets ($15-17M) and revenue budgets (over $22M). Involved in master planning, programming, design development and construction as project manager for renovations in OR, DR, RR, CSR, ambulatory care and inpatient areas and for new construction for same areas. Management team member for union contract negotiations. All areas maintained in compliance with JCAHO, HHS life safety and District health regulations. Developed and implemented departmental reorganization which reduced management positions.

Marge is a Registered Nurse with licenses in District of Columbia, Maryland, North Carolina, and California 1993 to present. She is a CNOR, Certification for Professional Achievement in Nursing Practice in the Operating Room. Association of Operating Room Nurses, Inc. December 1983 - 2002. Her professional associations include the Association of Operating Room Nurses, Federated Ambulatory Surgery Association, Healthcare Financial Management Association, American College of Health Care Executives, and the American Academy of Professional Coders.

She has her MBA from Loyola College, Baltimore, MD and RN certificate from, St. Agnes School of Nursing, Baltimore, MD. She has attended further training at the M.B.A. UpGrade Program at Syracuse University, Syracuse, N.Y. which focuses on various clinical and management seminars.

Ron Barkley, JD, Principal brings extensive experience in healthcare to W/ASD, which complements the strengths of the other Principals.

Mr. Barkley was one of four executives engaged to –round out” the senior management team of MedFirst, Inc. This was a pre-IPO physician practice management and support services company with annual revenues of $75 million. Ron joined MedFirst as a consequence of the acquisition of his firm, HealthQuest Affiliates, Inc., by the company in March 1996. MedFirst subsequently obtained $20.00 million in private equity funding from Goldman Sachs. Ron's scope of responsibility at MedFirst was twofold: (i) MSO joint venture development (transaction structure, due diligence, negotiations, documentation & operations implementation) and (ii) general corporate legal affairs. During his tenure with the company, Mr. Barkley was responsible for successfully concluding the company's MSO joint venture transactions in Chicago (MSO Great Lakes, Inc.); Miami (MSO South Florida, Inc.) and New York (acquisition of MSO-US, Inc. and re-structuring of MSO Manhattan and MSO New York, LLCs).

In late 1997, the company altered its direction away from its original physician practice management orientation in favor of a product-oriented strategy, which resulted in Mr. Barkley's departure from the company. Ron's background includes the following experiences in the healthcare industry.

President & Chief Executive Officer of HEALTHQUEST AFFILIATES, INC. and VENTURE AFFILIATES, INC.,Los Angeles, California-- July 1990 to March 1996 Ron was founder and principal of Venture Affiliates, Inc., a healthcare consulting firm specializing in business development and capital advisory matters, particularly physician network , MSO and integrated delivery system development. In March 1996, Mr. Barkley was joined by his colleague Thomas Griffin, M.D. who, together with Mr. Barkley, formed HealthQuest Affiliates, Inc. in order to expand the core services of physician group practice and network development, clinical and operational implementation and on-going network management. Among its accomplishments, HealthQuest formed three separate primary care-oriented physician networks in Alexandria, Arlington and Reston, Virginia and advised senior management of Columbia/HCA regarding Columbia's practice acquisition and MSO activities nationwide. At the time of its acquisition by MedFirst in March 1996, HealthQuest had annual revenues in excess of $2.5 million.

Ron co-founded and was Publisher, and Managing Partner of INTEGRATED HEALTHCARE REPORT, Los Angeles, California--August 1992 to December 1997. Integrated Healthcare Report, is a trade journal which has a national circulation of over 3,000 subscribers and which is recognized as a resource for leaders in integrated healthcare delivery systems. Also the authnual Capital Survey of Emerging Healthcare Organizations, which is co-sponsored by the Medical Group Management Association (MGMA) and Ziegler Securities. Mr. Barkley sold his interest in the Integrated Healthcare Report to one of the other partners, but maintains a continuing role as a Contributing Editor.

Ron also served as Executive Vice President of THE LINC GROUP, Chicago and Los Angeles from September 1986 to July 1990.Mr. Barkley was responsible for LINC's healthcare consulting, capital advisory and investment banking services in the Western United States and for the firm's equity syndication services nationwide. Ron structured, organized and funded some 25 complex joint ventures and hospital-physician affiliations, among them imaging centers, surgery centers, medical office building partnerships and medical staff partnerships which acquired equity interests in their respective hospitals.

Ron served as Vice President & General Counsel of NATIONAL DIAGNOSTIC SERVICES, INC., Woodland Hills, California from October 1982 to April 1986. Mr. Barkley was responsible for the company's corporate development, joint venture and general corporate legal activities. The firm specialized in physician-hospital joint venture development and management, typically as a principal in the transactions. During his tenure, Ron was responsible for structuring and syndicating some 15 joint ventures involving imaging centers, cardiac cath labs and mobile imaging services.

He also served as Managing Director of UNIHEALTH AMERICA (formerly HealthWest), Northridge, California from November 1980 to October 1982. Mr. Barkley was the Managing Director of the Clinishare Division of this integrated healthcare system responsible for the initial development , start-up and ongoing management of a number of ambulatory care service lines, including mobile diagnostic & imaging services, home respiratory & durable medical equipment services, rehabilitation centers and occupational medicine clinics. At the time of Mr. Barkley's departure from UniHealth, the Clinishare companies were generating in excess of $8 million annual revenues.

Kenna Holzen, BS, MSA, Principal brings expertise in multi-state development and management of ambulatory surgery centers within the Woodrum Ambulatory Surgery Development organization. She provides direction for the implementation of the managed care products in multiple surgery centers throughout the United States. Ms. Holzen’s experience includes the development and management of a surgery center in South Florida, the Executive Director of Travelers in San Diego, Executive Director of Corporate Managed Care and Marketing with Boca Raton Community Hospital, and Director of Managed Care in South Florida for HealthTrust, Inc. Her experience extends to hospital owned, hospital/physician joint ventures, and free standing surgery center development in the ambulatory surgery environment with strong emphasis on operations and regulatory compliance. She is a long standing Board member and past president of the Florida Society of Ambulatory Surgical Centers, member of American Academy of Medical Administrators and of the American Academy of Rehabilitation, Orthopedic & Neurological Care Administrators Chapter.

Ms. Holzen earned her Masters of Science Administration from Central Michigan University in Mt. Pleasant, her undergraduate degree from St. Joseph’s College in North Windham and has a nursing background from Miami Valley Hospital in Dayton.

Paul R. Nylander, BBA, MBA, PRINCIPAL brings 20+ years of extensive healthcare experience and expertise in the planning, development, implementation and management of physician practices, health system real estate and business development, independent physician associations and ambulatory surgery centers. Paul recently was Executive Administrator of a 110 physician member independent physician association in Central Illinois which included responsibilities for group purchasing, managed care contracting and surgery center pre-development, development and management. Paul also was Executive Administrator of Orthopaedic Associates of DuPage, Ltd., a 13 physician comprehensive orthopaedic group in the western suburbs of Chicago. Previously, Paul was Vice President of Real Estate and Business Development for Midwest based Central DuPage Health Systems. Paul’s ability to facilitate physician driven projects from feasibility thru successful completion is his biggest strength with his results-oriented focus on win-win situations providing greatest value to our clients.

Kelly Grier, Principal, has an extensive background in ambulatory surgery center business operations.  Her role with Woodrum ASD focuses on maximizing the profitability of the centers by managing, developing, and training of the business office staff, to include regulatory compliance, reimbursement and contract review, comparative analysis of accounts receivable data to ambulatory industry standards. Ms. Grier developed a Business Office Procedures Manual, which is kept up to date with the current billing and coding rules and regulations published by the AMA and CMS. For the past 10 years, Ms Grier has personally been involved in the management of over 30 surgery centers across the United States, and has been responsible for new center startup in addition to the management and improvement of existing centers.  In the key area of human resources, Ms Grier assist in recruiting interviewing, selecting, and training of new staff members, as well as training and evaluation of existing staff. Ms Grier annually hosts a Woodrum ASD business office conference, as host, Ms Grier is responsible for the conference agenda, recruitment of guest lecturers, as well as participating as a presenter herself.

As Director of Reimbursement for Amedisys Inc., Ms Grier was responsible for overseeing the accounts receivable, collections, coding, billing, as well as the educating and training of front office staff for the surgery center division. Prior to her work at Amedisys, Ms. Grier served as the Business Office Manager and Coding Specialist for HealthSouth Surgery Center in Baton Rouge, Louisiana. Additionally, she was the Health Services Training Coordinator for Cigna Healthcare.

Ms. Grier attended Southeastern Louisiana University in Hammond, Louisiana, and is a member of the American Academy of Professional Coders.

Cheryl Carrier serves as Assistant Director of Operations for the firm.  Her experience in ambulatory surgery field coupled with her knowledge of IDTF and physician billing is an asset to the development and management of the firms operations.

As Business Office Manager at Baptist Medical Park Navarre, she was responsible for accounts receivable, electronic billing, collections, refunds, accounts payable, and payroll. Prior to her work at Baptist Medical Park Navarre, she was the Insurance Supervisor at the Center for Women’s Health in Virginia. Cheryl’s main focus is to assist the centers with streamlining the business office processes so that their benchmarks for collections, A/R management, and billing are well with in the industry standards.

Ms. Carrier attended Austin Community College, and majored in Business Administration.

Brenda J. Myers, CPC-H, Principal, brings 13 + years experience with particular expertise in the area of ambulatory surgery center business office development and operations. Her leadership skills and in- depth experience in multi-facility management makes her well equipped to deal with the many challenges healthcare providers face. Brenda’s responsibilities have included hiring, educating and training of the staff, installing health information systems, coding and billing compliance, HIPAA regulations, negotiating managed care contracts, conducting OIG audits and analyzing revenue and reimbursement while focusing on profitability. Brenda has been instrumental in writing and implementing business office policies and procedures and has assisted in preparing centers for accreditation.

Prior to her current position with Woodrum ASD, Brenda was the Coding, Billing and A/R Director with Acumen Healthcare. She has also held the position as Business Office Operations Manager in a central Billing Office in the Surgery Center Division with Amedisys.

Brenda is a certified professional coder and is a member of the American Academy of Professional Coders.

Ms. Myers attended Tyler Junior College in Tyler, Texas, and the University of Southwestern Louisiana.

Cathy Havens assists physicians and investors in the development, certification, licensure and management of outpatient surgery facilities. Cathy has been in healthcare management since 1985.  Cathy has focused on the ambulatory surgery business since 1996.  Previously she managed an Accredited, Medicare certified, State licensed ambulatory surgery center.  She has managed and operated a high volume private and surgical practice.  Cathy has served as project coordinator for the construction of numerous ambulatory surgical facilities.  She has assisted in obtaining Certificate of Needs, Single Specialty Exemptions, State Licensure and Medicare Certifications for ambulatory surgery centers in many different states.  Cathy was the past State of Mississippi Coordinator for Federated Ambulatory Surgery Association.

Cathy attended the University of Southern Mississippi in Hattiesburg, MS.

Jeffrey Assael has experience working with healthcare clients on a national level. He has worked for two national consulting firms providing financial, quantitative and computer-related consulting services to a broad range of clients including hospital systems, MSOs, ambulatory surgery center developers, business consulting firms and entrepreneurs. He has developed sophisticated, proprietary computer-based models for financial analysis, projections and financial statements, including cost, expense, case load analysis, fees, collections, and cash-flow modeling.

Jeff assists W/ASD Consulting with detailed financial analysis for mergers/acquisitions, conducts corporate and medical practice valuation, and assisted in conducting financial and profitability feasibility analysis for new business start-ups. Jeff also conducts primary research and data analysis for market research, demographic modeling, real estate, commercial, and competitive analyses for health care services. He has developed models for W/ASD for ambulatory service, physician, and hospital demographic analysis. Jeff also assists in preparing offering memorandum/prospectus and business plans for private placements of securities to potential investors.

Previously, Jeff also worked for a real estate development firm in the highly competitive Los Angeles market. He is experienced in site location, negotiation and procurement, project management and coordination, property assessment, and other real estate demographic and financial analysis.

Jeff is a graduate of California State University of Northridge, College of Business Administration and Economics and holds a B.S. in Finance. His academic focus was on finance, including corporate finance, economics, portfolio management/risk analysis, accounting and cost analysis, financial reporting, securities valuation and quantitative analysis.
